Start-up capital structures can be very complex due to the myriad liquidation preferences, participations, warrants, convertible debt instruments, options, and restricted stock employed. Accordingly, allocating enterprise value between the various tranches of capital and calculating fully diluted shares under various scenarios is a difficult process that requires significant cap table data.

To avoid excessive complexity, Cyndx offers functionality to calculate per share values in Cyndx Owner rather than the Valer product, which is strictly used for generating valuations of a whole company. For simple capital structures, dividing Valer implied equity value results by fully diluted shares outstanding should give a roughly accurate per share value for a company, but the reliability of such an approach depends on the company’s cap table.
